better only if you get international warranty otherwise a BIG NO coz if some probs arise then you wont be able to get it fixed here in India under the warranty period,you will have to pay for everything..

Hard Drive= 320gb or more (preferably more) 3. Good graphics for basic gaming, video viewing 4.BEST BATTERY LIFE (this is very important) 5.wi-fi(this is also important), all necessary ports and features, ability to connect dial-up connection using mobile 6. price= between 30k to 55k 7. Best Serviceability (preferably 3 years warranty)

^^^^ extend your budget a little and take a macbook.you will never go back to pc again.i can bet 1000 bucks on that.
Seconded and bets 10000 on the same.
(But be sure of what softwares you regularly need because finding softwares on mac is more difficult than on pc. Unless you know how and where to get mac software you might be in trouble)

If you have to make a choice between these two models,I'd say second one because it comes with the latest technology DDR3 RAM.I don't find much difference between other features.
P.S.-Go with the latest core processors.Above mentioned models have integrated Graphics card which means nothing if you wish to play games or expecting HD screen quality but if you're not gaming or using just applications, then integrated Graphics would be fine. Note:-Dedicated video cards do cause extra heat and lower the battery life.

I dont think dere's MUCH of a difference b/w core i3 or i5.. Core i3 with 4GB RAM will be fine..

the basic difference between i3 and i5 is turbo boost....i5 provides u turbo boost, such as if requirement is high for a certain period, it will enhance the speed,eg from 2.5 to 2.9ghz
they mention it on system configuration, normal speed and maxm speed after boosting.

I have used both,Vista and 7 Home premium versions,Problem with vista is not that serious so as to force abandoning of your licensed version...however if you have XP programs to run,Windows 7 Ultimate Version can run them not directly but you have to download and install a virtual machine from Microsoft and then run your programs in it you will obviously feel crappy and eventually you will abandon your Xp programs..
Finally what i will suggest you is to enjoy vista (Dont waste money on 7 ) ... If you are a normal user you will have no (or minimal) problems ... After a while choice is upto you to upgrade or not and definately you yourself will be in a better position to answer whether you require upgrade or not.
